Software License Agreement
1. This is an agreement between PBXMonitor and Development Testing Instance, who is being licensed to use this Software.
2. Development Testing Instance acknowledges that this is only a limited nonexclusive license. PBXMonitor is and remains the owner of all titles, rights, and interests in the Software.
3. This License permits Development Testing Instance to use the Software on exactly 10 3CX Phone System Servers, and may be accessed from as many terminal stations as is needed. Development Testing Instance will not make copies of the Software or allow copies of the Software to be made by others for any reason.
4. This Software is subject to a limited warranty. PBXMonitor warrants to Development Testing Instance that is free from defects in workmanship under normal use, the Software will perform according to its printed documentation, and to the best of PBXMonitor's knowledge Development Testing Instance's use of this Software according to the printed documentation is not an infringement of any third party's intellectual property rights. This limited warranty lasts untill 02-28-2022 02:46:39. To the extent permitted by law, THE ABOVE-STATED LIMITED WARRANTY REPLACES ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, AND PBXMonitor DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING ANY IMPLIED WARRANTY OF TITLE, MERCHANTABILITY, NONINFRINGEMENT, OR OF FITNESS FOR A PARTICULAR PURPOSE. No agent of PBXMonitor is authorized to make any other warranties or to modify this limited warranty. Any action for breach of this limited warranty must be commenced within 15 days of the expiration of the warranty. Because some jurisdictions do not allow any limit on the length of an implied warranty, the above limitation may not apply to Development Testing Instance. If the law does not allow disclaimer of implied warranties, then any implied warranty is limited to 15 days after License Expiration Date of 02-28-2022 02:46:39. Development Testing Instance has specific legal rights pursuant to this warranty and, depending on Development Testing Instance's jurisdiction, may have additional rights.
5. In case of a breach of the Limited Warranty, Development Testing Instance's exclusive remedy is as follows: A pro-rated refund based on any remaining time on the licensing agreement.
6. Notwithstanding the foregoing, PBXMonitor IS NOT LIABLE TO Development Testing Instance FOR ANY DAMAGES, INCLUDING COMPENSATORY, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, CONNECTED WITH OR RESULTING FROM THIS LICENSE AGREEMENT OR Development Testing Instance'S USE OF THIS SOFTWARE. Development Testing Instance's jurisdiction may not allow such a limitation of damages, so this limitation may not apply.
7. Development Testing Instance agrees to defend and indemnify PBXMonitor and hold PBXMonitor harmless from all claims, losses, damages, complaints, or expenses connected with or resulting from Development Testing Instance's business operations.
8. PBXMonitor has the right to terminate this License Agreement and Development Testing Instance's right to use this Software upon any material breach by Development Testing Instance or its Agents, Employees, or other Associates.
9. Development Testing Instance not to disclose PBXMonitor pricing, quotes, or special agreements with other potential clients of PBXMonitor, or to disclose them publicly in any way.
10. Development Testing Instance agrees to return to PBXMonitor or to destroy all copies of the Software upon termination of the License.
11. This License Agreement is the entire and exclusive agreement between PBXMonitor and Development Testing Instance regarding this Software. This License Agreement replaces and supersedes all prior negotiations, dealings, and agreements between PBXMonitor and Development Testing Instance regarding this Software.
12. This License Agreement is governed by the laws of the State of Arizona, United States of America, applicable to Arizona, USA contracts.
13. This License Agreement is valid without PBXMonitor's signature. It becomes effective upon the earlier of Development Testing Instance's signature or Development Testing Instance's use of the Software.
